Advance Capital is pleased to announce the acquisition by PUNKT E of a 100% stake in Sitronics Electro from Sitronics Group. The combined network will exceed 1,600 charging stations across more than 60 regions of Russia and three CIS countries, securing PUNKT E’s position as the largest EV charging infrastructure operator in the country.

PUNKT E is the largest private EV charging network operator in Russia and a provider of charging solutions for both individual and corporate clients. To date, the PUNKT E network includes over 1,000 charging stations across 61 regions, including stations under management and in roaming. More than 85% of the network consists of direct current fast charging stations.

Sitronics Group is a diversified Russian technology company delivering digital solutions for government and business. Its key areas of focus include digital solutions for transport and security, smart city technologies, maritime solutions (Sitronics KT), EV charging infrastructure (Sitronics Electro), and satellite solutions (Sputnix). The company ranks among the top 6 IT companies in Russia in 2024 according to RAEX and among the top 3 players in the video surveillance market according to CNews Analytics in 2024.

As part of the transaction, PUNKT E will take over the charging station network operations, mobile application, monitoring and dispatch systems for public electric transport, as well as the business of designing and building charging hubs for public and commercial transport. Sitronics Group will, in turn, focus on the development and manufacturing of charging equipment, ranging from slow individual chargers to ultra-fast charging stations for electric buses.

This transaction marks a key milestone in the development of Russia’s EV charging infrastructure market and will contribute to shaping a sustainable model for its future growth.

Konstantin Alyabyev, Managing Director at PUNKT E:

“For PUNKT E, this transaction represents a strategic step in market consolidation, as the industry evolves toward a model where large-scale operators play a leading role. The deal will allow us to increase the scale and efficiency of our charging network, while offering our customers seamless access to the combined network through a single mobile application. In addition, Sitronics Electro’s expertise and software solutions for public and municipal transport will provide opportunities in complex construction projects for ultra-fast charging infrastructure”.

Alexey Marukhin, President of Sitronics Group:

“We began developing the EV charging infrastructure business in Russia at an early stage of market formation in 2021. Our team has since worked simultaneously on both the operating and manufacturing segments, growing the business into one of the industry leaders. Today, the EV market is gaining momentum, and successful competition requires both consolidation and a clear strategic focus. The sale of the operating business will allow us to concentrate on the development and production of equipment for electric mobility, as well as unmanned and shore-based maritime systems”.

Maxim Uryash, Partner and Managing Director at Advance Capital:

“The PUNKT E and Sitronics Electro transaction reflects the transition of the EV charging infrastructure market into a consolidation phase. As volumes grow and service quality requirements increase, larger operators with scalable IT platforms, in-house service capabilities, and access to capital gain a competitive advantage. We expect M&A activity in this segment to accelerate in the coming years, with the market consolidating around several key players”.

Karen Dashyan, Partner and Managing Director at Advance Capital:

“The acquisition of Sitronics Electro represents a natural step in the execution of PUNKT E’s strategy to consolidate the EV charging infrastructure market. We are pleased to have acted as financial advisor and to support the PUNKT E team in delivering this strategically important transaction. For Advance Capital, this is the third transaction in the segment, highlighting our deep expertise and strong understanding of the key market drivers in EV charging infrastructure”.

Advance Capital acted as the exclusive financial advisor to PUNKT E.

The deal value is not disclosed.
